General Terms and Conditions.
For all services provided by adddix GmbH & Co. KG in the field of additive manufacturing.
This is a courtesy translation. Only the German version is legally binding.
Scope
(1) These General Terms and Conditions (the “Terms”) apply to all contracts for additive manufacturing services (3D printing), design, engineering and related ancillary services between adddix GmbH & Co. KG, Thusstraße 32, 95195 Röslau (“adddix”) and its customers.
(2) These Terms apply to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. They apply to consumers only insofar as statutory consumer protection provisions do not preclude this.
(3) Conflicting or deviating terms and conditions of the customer shall not become part of the contract unless adddix expressly agrees to their validity in writing.
Offer and Conclusion of Contract
(1) Offers made by adddix are subject to change and non-binding unless they are expressly designated as binding.
(2) The contract is concluded when adddix accepts the customer’s order by means of an order confirmation (text form is sufficient, e.g. by email or via the customer portal) or begins performing the service.
(3) The order confirmation issued by adddix is authoritative for the scope of services. Subsequent changes require confirmation in text form.
Scope of Services and Manufacturing Based on Customer Data
(1) adddix manufactures parts on the basis of the data provided by the customer (in particular CAD/3D models) and the agreed specifications (process, material, quantity, post-processing).
(2) Due to the nature of the process, manufactured parts may deviate from sample parts, illustrations or earlier deliveries in terms of dimensional accuracy, surface finish, color and mechanical properties to an extent that is customary in the industry. Such customary deviations do not constitute a defect, provided that the agreed specification is met.
(3) adddix is only obliged to check the data supplied by the customer for design suitability, functionality or compliance with the product law requirements of the intended use if this has been expressly agreed. adddix is entitled to automatically repair obvious errors in the print data (e.g. non-closed surfaces, faulty meshes) to the extent required for manufacturing, without this giving rise to any further obligation to check.
Tolerances, Surface Finishes and Material Properties
(1) Unless tolerances have been expressly agreed, the tolerances typical of additive manufacturing processes apply, based on DIN 16742 or the guide values of VDI Guideline 3405, i.e. a guide value of ±0.3% of the nominal dimension, but no less than ±0.3 mm. Dimensional, form and positional tolerances as well as surface specifications are guide values and do not constitute a guarantee of quality within the meaning of Section 443 BGB.
(2) Additive manufacturing is carried out layer by layer. Due to the nature of the process, the following in particular may occur: visible layer structures, marks where support structures were attached, residual powder or residual material adhering in cavities, minor color and batch variations, and direction-dependent (anisotropic) mechanical properties. These process-typical characteristics do not constitute a defect, provided that the agreed specification is met.
(3) Information in the material data sheets of the material manufacturers is based on standardized test specimens and serves as reference values. It does not constitute an assurance of the properties of the specific part, as these depend on geometry, build orientation, process and post-processing.
(4) As standard, a visual inspection and random dimensional checks are carried out. Further inspections and documentation (e.g. measurement reports, first article inspection reports, material certificates) are only provided on the basis of a separate agreement and for a fee.
Restrictions on Use and Suitability Testing
(1) Unless expressly agreed otherwise, the manufactured parts are intended for general industrial applications and as prototypes, samples and display models. Use in safety-critical areas – in particular as a medical device or implant, in aerospace, as a load-bearing safety component or in contact with food – requires an express written agreement.
(2) Testing and approving the parts for the specific intended use (including any initial sampling, functional and endurance tests) is the responsibility of the customer. Design responsibility and the risk of use lie with the customer, unless adddix has expressly undertaken design services.
Customer’s Obligations to Cooperate
(1) The customer shall provide all data required for performance in good time, in full and in an agreed or common format. The customer is responsible for the correctness and technical usability of the data.
(2) The customer assures that the data it provides and the commissioned manufacturing do not infringe any third-party rights (in particular copyrights, trademark rights, design rights or patent rights) and that no statutory prohibitions preclude them. The customer shall indemnify adddix against claims of third parties based on a breach of this assurance, including the reasonable costs of legal defense.
(3) adddix is entitled to refuse to execute orders whose content violates statutory provisions (e.g. weapons or weapon-like parts without the corresponding authorization).
Prices and Payment
(1) The prices stated in the offer or in the order confirmation apply, plus statutory value added tax and, where applicable, packaging and shipping costs.
(2) Unless otherwise agreed, invoices are payable without deduction within 14 days of the invoice date. For new customers or on an order-specific basis, adddix may require payment in advance or a down payment.
(3) In the event of default in payment, the statutory provisions apply. Set-off is only permitted with claims that are undisputed or have been established with final and binding effect.
Delivery, Lead Time and Transfer of Risk
(1) Delivery dates are only binding if they have been expressly agreed as binding. Express agreements remain unaffected.
(2) The delivery period shall be extended by a reasonable amount in the event of circumstances for which adddix is not responsible (force majeure, material shortages, disruptions at upstream suppliers) and in the event of late or faulty delivery of data by the customer.
(3) In the case of shipment, the risk passes to the customer upon handover to the carrier (Section 447 BGB). Partial deliveries are permissible to a reasonable extent.
(4) In series production and special production runs, production-related over- or under-deliveries of up to 10% of the ordered quantity are permissible. The quantity actually delivered will be invoiced.
Retention of Title
Delivered goods remain the property of adddix until all claims arising from the business relationship have been paid in full. The customer is entitled to resell the goods in the ordinary course of business; the customer hereby assigns to adddix in advance the resulting claims in the amount of the invoice value.
Warranty
(1) The customer shall inspect delivered goods without undue delay and give notice of any recognizable defects in text form without undue delay, at the latest within 8 working days of receipt; hidden defects shall be notified without undue delay after their discovery (Section 377 of the German Commercial Code, HGB).
(2) In the case of justified notices of defects, adddix shall, at its discretion, provide subsequent performance by remedying the defect or by delivering a replacement. If subsequent performance fails, the customer is entitled to the statutory rights.
(3) No warranty is given for defects resulting from faulty customer data, an unsuitable choice of material or process specified by the customer, or improper use.
(4) The limitation period for claims for defects is one year from delivery, unless mandatory statutory provisions provide for longer periods (in particular in cases of intent, gross negligence or injury to life, body or health).
Liability
(1) adddix is liable without limitation in cases of intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act (ProdHaftG).
(2) In the event of a breach of material contractual obligations (cardinal obligations) due to simple negligence, liability is limited to the foreseeable damage typical of the contract. Otherwise, liability for simple negligence is excluded.
(3) adddix is liable for the loss of data only up to the amount of effort that would be required to restore it if the customer had backed up its data properly.
Intellectual Property Rights and Confidentiality
(1) Data and designs provided by the customer remain the customer’s intellectual property. adddix uses them exclusively for the execution of the order and treats them confidentially.
(2) All rights to designs, drafts and process know-how created by adddix remain with adddix, unless expressly agreed otherwise.
(3) adddix stores the manufacturing data provided for the execution of the order for possible repeat orders for a period of 24 months after the last order and deletes it thereafter. There is no obligation to archive the data beyond this. At the customer’s request, the data will be deleted earlier, provided that no statutory retention obligations prevent this.
Data Protection
Information on the processing of personal data can be found in our privacy policy.
Final Provisions
(1) The law of the Federal Republic of Germany applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from the business relationship is the registered office of adddix.
(3) Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
